- The duty of care-
The board is to take care of Windermere by ensuring the prudent use of all assets, including facilities, people, and good will; and provide oversight for all activities that advance Windermere’s effectiveness and sustainability.
- The duty of loyalty-
The board is to make decisions in the best interest of Windermere’s ministry; not in their own self-interest or in the interest of any third party. (Note: legally there is no way a board member can serve as a representative or proxy of another entity. In other words nonprofits cannot be controlled by another entity through board member selection. Board members must be loyal to the entity they serve.)
- The duty of obedience-
Board members ensure that Windermere obeys all the applicable laws and acts in accordance with ethical practices; that Windermere adheres to the stated purposes and it’s activities that advance its mission.
